当您通过 OpenComplex 微观生命分子基础模型服务平台(以下简称“OpenComplex平台”)使用模型服务(见下文定义)之前,请您务必认真阅读并充分理解《OpenComplex平台服务条款》(以下简称“本协议”)。
OpenComplex平台是北京智源人工智能研究院(以下或称“我们”)提供的生物分子结构及互作预测模型服务。其中,免除或限制责任条款等重要内容会以加粗形式提示您注意,您应重点阅读。一旦您使用服务,则视为您已充分理解本协议并承诺遵守本协议,接受本协议的约束。
双方均保证其经营活动已获得合法经营资质或有关部门批准,有权依法运营其产品和服务。双方进一步保证,在本协议有效期内持续具备相关资质或批准,并应符合国家及经营所在地不时颁布的法律法规与地方性法律文件的要求。
第一条 产品及服务内容
1.1 北京智源人工智能研究院的产品及服务展示的 OpenComplex平台,标记为“北京智源人工智能研究院”提供的模型及服务(以下合称“模型服务”或“服务”)。
1.2 您应采取合理和适当的措施,以确保访问、使用服务的安全性。若您发现服务有任何漏洞的,应立即联系北京智源人工智能研究院,并提供该漏洞或漏洞的详细信息。在修复或处置过程中,您不应将该等漏洞信息对外披露,包括但不限于公开发布到任何第三方平台。
1.3 除本协议约定外,您还应遵循北京智源人工智能研究院的隐私政策及北京智源人工智能研究院有关的协议、产品服务使用规则等约定的内容。
第二条 服务授权及服务使用声明
2.1 服务授权范围。受限于本协议其他条款和条件,北京智源人工智能研究院授予您享有根据 1.1 条订购的服务的非排他的、不可转让、不可分许可、不可转许可、有期限限制,且仅在中国大陆地区范围内的普通使用许可权。为免疑义,您仅可将根据 1.1 条订购的服务用于您内部使用或在您的产品中调用 OpenComplex模型以供您的最终用户使用,您不得将北京智源人工智能研究院授予您使用的服务以任何方式向第三方单独提供,包括不限于销售、提供、转租、转借、转让等。
如您在您的产品中调用 OpenComplex模型以供您的最终用户使用,您应采取必要措施确保您的最终用户知悉并遵守本协议的全部内容。
2.2 服务授权期限自您开通服务之日起开始计算,如您违反本协议任意一条约定的,北京智源人工智能研究院有权撤回或终止 2.1 条的服务授权,并要求您将大模型相关的版本、文档、代码、程序、软件、数据(包括使用模型服务生成的内容)等所有由北京智源人工智能研究院提供的资料及其任何复制件、副本、缓存进行销毁或返还,您不得保留和使用与服务有关的任何内容,并向北京智源人工智能研究院提供可合理信服的销毁证明。当违约行为被纠正或由此给北京智源人工智能研究院造成的损失全部被您弥补后,北京智源人工智能研究院有权决定是否恢复服务授权。
2.3 模型服务适用人群、场合、用途的方式 。1)模型服务适用人群。从事生命科学、药物研发、生物工程等领域的专业人员,如结构生物学家、生物信息学研究人员、药物设计工程师、生物医药企业的研发人员,以及高校和科研机构的教师与学生等。本服务主要面向年满18周岁的成年人。如您未满18周岁,请在父母或其他法定监护人陪同下阅读本协议,并在征得父母或其他法定监护人的同意后使用本服务。 2)模型服务适用场合。1. 基础科研与教育:模型广泛应用于结构生物学、分子生物学、合成生物学等领域的基础研究。科研人员可使用该模型对蛋白质序列进行结构预测,辅助结构功能关系研究、蛋白复合物组装分析等。在教育场景中,教师可借助模型直观展示蛋白质结构,提升教学效果。 2. 药物早期发现:科研人员可利用模型快速预测靶标蛋白结构或复合物结合构象,加速药物筛选与结构优化过程,支持先导化合物的虚拟筛选与优化设计。 3.数据库建设与结构注释:适用于生物信息数据库构建机构及蛋白质注释平台,用于大规模未注释序列的结构预测与功能推断,提升结构组学的数据覆盖率。 3) 模型服务范围。1.单体及复合物结构预测:支持对单链蛋白质、多链复合物、蛋白-核酸、蛋白-小分子等多种生物大分子系统的结构建模。 2.蛋白质-蛋白质相互作用预测:通过建模预测复合物结合界面与亲和模式,辅助PPI机制研究与抗体设计。 3.结构质量评估与置信度分析:提供各原子/残基层面的预测置信度(如PAE、pLDDT),用于结构可视化与后续分析判断。 4.结构驱动的功能推断与突变分析:结合结构信息预测蛋白功能位点、结合口袋、突变影响,助力蛋白功能注释、疾病突变机制研究等。
2.4 您使用本服务生成内容的所有权为您所有。您理解并知悉,使用本服务的生成内容为模型自动生成,仅供理论研究参考,不构成任何生物医药、临床医疗方面的专业意见,也不代表北京智源人工智能研究院的立场和意见。您不得直接将使用本服务生成的内容直接用于生物医药、临床医疗等专业领域,由此带来的一切后果和责任均由您自行承担。由于机器学习特性,就相同的输入可能产生不同的输出结果;就不同的输入也可能产生相同的输出结果,请您仔细甄别。
2.5 如您在您的产品中调用 OpenComplex模型以供您的最终用户使用,您需要按照相关法律法规政策的要求自行开展必要的安全评估、大模型备案/登记和算法备案等合规工作,且应同时满足法律法规政策相关的要求,对生成内容的安全性、合法性、合规性进行有效管理和控制,建立包括但不限于内容审核、用户管理、数据安全、监测预警和应急处置等机制。如因最终用户使用您产品或服务导致数据安全、舆情风险或发生任何产品或服务被滥用、传播、不当利用而产生的风险和责任,应由您自行承担。
2.6 您保证在使用本协议项下服务过程中,不得对北京智源人工智能研究院的服务有以下行为:
- 利用技术或其他手段破坏、扰乱本协议项下服务的运营;
- 以任何方式干扰或企图干扰任何服务或任何功能的正常运行,或者制作、发布、传播上述工具、方法等;
- 以任何方式试图从服务中提取数据、参数、代码或其他属于北京智源人工智能研究院的专有信息。
4)如您和/或最终用户可能会将本服务用于商业活动,包括为商业组织开展研究,双方须另行签署合作协议。
针对使用本服务过程中的具体禁止行为,详见《OpenComplex平台禁止行为》。《OpenComplex平台禁止行为》应视为本协议不可分割的组成部分。
2.7 如您在您的产品中调用 OpenComplex模型以供您的最终用户(包括您所属机构的员工)使用,您应当对您最终用户的使用行为独立负责。如您或者您的最终用户违反本协议中规定的禁止或限制的,您应立即落实或者督促您的最终用户落实整改,由此给北京智源人工智能研究院造成损失的,您应向北京智源人工智能研究院足额赔偿并承担全部责任。
2.8 如我们发现您违反本协议的约定或利用本服务从事违法犯罪活动的,我们有权依据自己的合理判断不经通知,采取警示、限制功能、暂停或者终止服务、封禁账号等处置措施,保存有关记录,并向有关主管部门报告。由此而导致或产生的法律责任或第三方主张的任何索赔、要求或损失,您应当自行承担责任。
第三条 数据访问和使用
3.1 对于您向本服务中输入的内容,您保证对该等内容享有所有权利或者已经取得相应合法授权。您需自行对所输入的内容负责,因输入的内容引发的一切纠纷由您自行承担全部责任,北京智源人工智能研究院不对此承担任何责任。为履行法定合规要求,北京智源人工智能研究院有权采取技术手段或人工手段对您使用本服务的行为及信息进行审查,包括但不限于对您提交给服务或使用服务输出的内容进行审查,建立和改进风险过滤机制、违法内容特征库等。
3.2 您理解并知悉,由于互联网生成内容存在不可完全预测性,北京智源人工智能研究院提供的审核能力并不免除您在相关法律法规政策要求和本协议第2.5条项下的合规义务。
3.3 您确保北京智源人工智能研究院基于您同意对前述信息内容的存储和使用不会侵犯任何第三方的合法权益。
第四条 知识产权
4.1 背景知识产权。任何一方和/或其关联方在本合同签署之前所拥有的背景知识产权依然归属该方所有。为免疑义,OpenComplex平台的所有权、知识产权归属北京智源人工智能研究院,包括不限于模型参数、算法、代码、框架结构等。
4.2 算法、参数、源代码。北京智源人工智能研究院不提供有关服务的算法、参数、源代码。除本合同明确约定外,您不得擅自对北京智源人工智能研究院提供的服务进行任何算法、参数、代码等的修改。由于您对北京智源人工智能研究院提供的服务进行任何算法、参数、代码等的改动而导致服务不能正常运行或服务效果降低的,北京智源人工智能研究院对此不承担责任,由此给北京智源人工智能研究院或北京智源人工智能研究院造成损失的,您应当承担赔偿责任。
4.3 未经北京智源人工智能研究院书面或邮件同意,不得在任何时候、以任何方式(无论是直接还是间接,也无论是明示还是暗示;包括但不限于任何营销、广告、促销、市场推广或其他目的):(1)使用、引用、公布、复制、分销,展示(公开或非公开)、提及、注册或申请注册:(i)北京智源人工智能研究院或其关联方拥有或有权使用的任何商标(无论是否已注册)、商号、名称、标志或者标识(包括但不限于:“北京智源人工智能研究院”,等),或通过特定描述使第三方能够识别北京智源人工智能研究院或其任何关联方。(ii) 北京智源人工智能研究院或其关联方任何董事、监事、管理人员、雇员或合伙人、科学家团队的姓名、肖像、形象、照片、图片、标识、发言或评论(或其一部分),或(iii)与前述各项相似的、以任何语言形式存在的任何名称、商标、标识、文字、词语、符号或其任何组合;及(2)直接或间接声明您或其任何关联方所提供的任何产品或服务已由北京智源人工智能研究院或其任何关联方认可或支持。特别地,除北京智源人工智能研究院以外的任何一方向北京智源人工智能研究院确认和承诺,未经北京智源人工智能研究院事先书面/邮件同意,其不得将北京智源人工智能研究院相关的宣传/广告/影响策略及内容向任何第三方进行宣传或披露、亦不得利用北京智源人工智能研究院或其相关方名义、品牌直接或间接谋求和/或招揽任何投资和/或合作机会。
第五条 个人信息保护
我们非常重视对用户个人信息的保护。我们将按照《OpenComplex平台隐私政策》的规定收集、使用、储存和分享您的个人信息。《OpenComplex平台隐私政策》应视为本协议不可分割的组成部分。
第六条 违约赔偿和责任限制
6.1 任何一方因未能履行本协议项下义务或严重违反本协议规定致使对方遭受损失的,违约方应当赔偿对方因此遭受的全部经济损失。
6.2 任何一方均不负担因本协议或因使用根据本协议所收到的产品和服务所引起或导致的偶然的、附带的、惩罚性的、特殊的、间接的损失或损害,包括但不限于利润或商誉的损失,无论上述损失或损害如何产生、系基于何种责任理论,且无论存在于违约、侵权、赔偿或任何其他诉讼理由而提起的诉讼中,即使被告知该等损失的可能性。
6.3 北京智源人工智能研究院的产品和服务是按照现有技术和条件所能达到的现状提供的。北京智源人工智能研究院将尽最大努力确保产品和服务的可用性,除本合同或双方书面确认的其他规定外,北京智源人工智能研究院不作任何其他明示或暗示的陈述或保证。例如,北京智源人工智能研究院未声明或保证产品和服务 100%完整、准确、可靠、更新及时,也不保证产品服务不间断、系统稳定没有任何故障、内容完全安全或不侵权,您应根据其实际情况独立判断。您基于产品和服务生成的内容产生的任何知识产权纠纷由您自行处理并承担所有责任,由此给北京智源人工智能研究院造成损失的,您应当承担赔偿责任。您也同意,即使北京智源人工智能研究院提供的产品和服务存在瑕疵,但若上述瑕疵是当时行业技术水平所无法避免的,其将不被视为北京智源人工智能研究院违约,双方应友好协作共同解决问题。北京智源人工智能研究院的责任应以您在使用产品和服务时严格遵守本合同或其他有关操作指南、使用规范的文件为前提,否则,当产品和服务使用不当时,北京智源人工智能研究院将不承担相应的责任。
6.4 除法律法规另有相反规定外,北京智源人工智能研究院不对因下述任一情况而导致的任何形式的损害赔偿承担责任,包括利润、商誉、使用等方面的实际损失、间接损失或协议履行后可以获得的利益损失的损害,进行赔偿(无论北京智源人工智能研究院是否已被告知该等损害赔偿的可能性):
- 您未能合理使用本服务或将本服务未经北京智源人工智能研究院授权提供给第三方使用;
- 北京智源人工智能研究院对本服务进行维护或升级;
- 出现计算机病毒、木马或其他恶意程序、黑客攻击、非我们造成的人为破坏或任意未经授权的访问、篡改或使用、可能存在的电力信号中断、操作失误、网络通讯故障或中断、网络拥堵、系统停机维护或升级、第三方服务瑕疵等情形;
- 发生罢工、劳动争议、暴乱、起义、骚乱、生产力或生产资料不足、台风、地震、火灾、洪水、风暴、爆炸、战争、政府行为、流行病及卫生检疫限制等不可抗力;
- 其他非北京智源人工智能研究院过错、北京智源人工智能研究院无法控制或合理预见的情形。
第七条 协议更新与终止
7.1 北京智源人工智能研究院有权不时修改本协议,更新后的协议将通过OpenComplex平台官方网站等适当的渠道进行公布。更新后的协议一经公布即应取代原协议条款,建议您定期查阅最新版协议条款。如您不接受更新后的协议,请您立即停止使用本服务。您继续使用本服务将被视为您已接受更新后的协议内容。
7.2 在不损害任何一方可享有的任何其他权利或救济的前提下,如果一方出现以下情况之一,对方有权通过向其发出书面通知立即终止本协议(包括本协议项下的所有附件):
- 严重违反本协议项下不可补救的任何义务;
- 严重违反本协议项下可补救的任何义务,但没有在收到要求补救的书面通知后六十日内完成补救;
- 发生足以使任何法院或者债权人指定接管人、管理人或者提交解散申请或者做出清算命令。
7.3 本协议在任一方终止前持续有效。您可在任何时间自行停止使用本服务。如我们自行判断您在使用过程中存在违反本条款、适用法律,或对安全、伦理或负责任的科学行为构成风险的情况,我们有权在无需事先通知的情况下暂停或永久取消您对本服务的访问权限。此类情况包括但不限于:生成旨在用于有害生物用途或可被合理视为生物危害的内容、在双重用途研究背景下的不当使用,或生成违背伦理准则的内容。一旦终止,您将立即失去访问和使用本服务的权利,但该终止不影响任一方在终止前已经产生的任何权利或救济。本协议中按其性质应在终止后继续有效的规定,包括但不限于有关知识产权、免责声明、责任限制和适用法律的规定,仍将继续适用。
第八条 交流与反馈
8.1 当使用的过程中,遇到技术问题或需要联系我们,可通过官方网站、邮箱与我们取得联系。具体渠道及流程说明如下:
1)投诉举报渠道的设置:为保障用户权益及服务合规,本服务设立了多种便捷的投诉举报渠道,供公众和用户在发现疑似违规行为或数据保护问题时进行反馈,包括:电子邮件:设立专用邮箱,用于受理公众和用户的投诉及举报。在线客服:用户可以通过平台内的在线客服实时提交投诉,或报告数据使用过程中遇到的隐私及安全问题。网页/应用内反馈:本服务在官方网站及应用程序内提供“投诉与建议”入口,便于用户随时进行反馈。
2)投诉举报处理流程:本服务接收到投诉举报信息后,将严格按照合规和公正的原则进行调查和处理,具体流程如下:接收确认:在接收到投诉或举报后,将向用户发送确认通知,确认已收到其反馈内容,并登记相关信息。信息核实:对于收到的投诉举报信息,本服务会进行初步核实,并根据内容的真实性和重要性决定是否进一步深入调查。深入调查:如投诉举报涉及严重违规或用户权益受损的情况,将启动内部调查程序。调查过程中可能会联系用户收集更多信息。反馈与处理结果:在完成调查后,本服务会将处理结果及时反馈给投诉人或举报人。如有实际违规行为,将采取相应措施整改,并在必要时采取补救措施以消除影响。
3)处理时限与用户知情:本服务承诺在接到投诉举报后的七个工作日内对投诉举报进行初步回复,在三十个工作日内完成最终处理并反馈结果。若因特殊原因导致延误,将及时通知用户并说明原因。
4)投诉举报记录与后续审查:为确保投诉举报处理流程的透明性,本服务将对每个投诉举报案件进行详细记录,包括接收日期、投诉举报类型、处理流程、处理结果及反馈时间等信息。所有记录将保存以供内部审查、合规检查及外部监管审查使用。
5)用户申诉及补救措施:如用户对投诉举报处理结果不满意,可通过上述渠道进行申诉。本服务将在接到申诉后启动复核流程,并对投诉举报问题再次进行审查。若发现问题属实,将采取补救措施,包括但不限于停止相关违规行为、通知用户具体改进措施以及进行赔偿(如适用)。
6)定期审查与改进:本服务将定期审查投诉举报处理流程,收集用户反馈意见,进一步完善投诉受理机制,确保用户投诉举报的受理和处理合法合规、及时高效。
第九条 协议期限及其他
本合同自您点击模型使用页面并确认本协议之日起,或开通服务之日(如不一致以最早之日计算)起生效,并在您使用本服务的期间内持续有效。
第十条 免责声明
10.1 本服务按“原样”和“可用状态”原则提供,不附带任何形式的明示或暗示保证,包括但不限于适销性、特定用途适用性、准确性或不侵权的任何保证。您对如何使用或依赖本服务中获得的任何信息承担全部责任。
10.2 本服务并非面向临床或诊断用途,亦未经过此类用途的验证。不得将本服务用作医疗、监管或其他涉及安全的关键场景中专业建议或决策的替代。
10.3 在适用法律允许的最大范围内,我们不承担因您使用或无法使用本服务或其生成结果所引起的或与之相关的任何间接、附带、后果性、惩罚性或特殊损害的任何责任,包括但不限于数据、收入、利润、商业机会或声誉的损失。在任何情况下,我们的总赔偿责任总额均不超过 100 美元。
Welcome to the OpenComplex Foundation Model for Microscopic Biomolecules Server.
Before using the Model Services (as defined below) provided by the OpenComplex Foundation Model for Microscopic Biomolecules Server (hereinafter referred to as “OpenComplex Server”), please read and fully understand the OpenComplex Server Terms of Service (hereinafter referred to as “the Terms of Service”).
The OpenComplex Server is a biomolecular 3D structure prediction model service provided by the Beijing Academy of Artificial Intelligence (BAAI, hereinafter also referred to as “we”). Important provisions such as disclaimers or limitations of liability are highlighted in bold for your attention, and you should pay particular attention to them. By using the services, you are deemed to have fully understood and agreed to abide by the Terms of Service and to be bound by its terms.
Both parties guarantee that they have obtained the necessary legal qualifications or approvals from relevant authorities to conduct their business activities and are entitled to lawfully operate their products and services. Furthermore, both parties guarantee that they will continue to hold the relevant qualifications or approvals during the validity of the Terms of Service, and shall comply with applicable national laws, regulations, and local legal documents issued from time to time in their place of business.
Article 1. Product and Service Content
1.1 The OpenComplex Server, as displayed in the products and services of BAAI, and labeled as being provided by BAAI, hereinafter collectively referred to as the “Model Service” or “Service”.
1.2 If service interruptions occur due to adjustments, optimization, upgrades, capacity expansion, or other similar measures, or if delays, modifications, or suspensions are caused by third-party networks, equipment, or improper usage, BAAI will notify you as soon as practicable and will restore the Service within a reasonable time.
1.3 You shall take reasonable and appropriate measures to ensure the security of your access to and use of the Service. If you discover any vulnerabilities in the Service, you must immediately contact BAAI and provide detailed information regarding such vulnerabilities. During the process of fixing or addressing the issue, you must not disclose the vulnerability information to the public or any third party platform.
1.4 In addition to the provisions of the Terms of Service, you must also comply with BAAI’s Privacy Policy and any other applicable agreements, service usage rules, or related terms and conditions issued by BAAI.
Article 2. Service License and Usage Declaration
2.1 Scope of Service License
Subject to the other terms and conditions of the Terms of Service, BAAI grants you a non-exclusive, non-transferable, non-sublicensable, non-assignable, time-limited license to use the Service subscribed to under Clause 1.1 within Mainland China only. For clarity, you may only use the Service subscribed to under Clause 1.1 for your internal purposes or to invoke the OpenComplex Server within your products for use by your end users.
You must not provide the Service granted by BAAI to any third party in any form, including but not limited to by sale, offering, sublease, loan, or transfer.
If you integrate the OpenComplex Server into your product for use by your end users, you should take necessary measures to ensure that your end users are aware of and comply with all terms and conditions of the Terms of Service.
2.2 Term of Authorization
The service license becomes effective from the date you activate the Service. If you violate any provision of the Terms of Service, BAAI has the right to revoke or terminate the service license granted under Clause 2.1 and may require you to destroy or return all materials provided by BAAI, including but not limited to model versions, documentation, code, programs, software, data (including content generated by the Model Service), and any copies, duplicates, or cached files. You must not retain or use any content related to the Service, and must provide reasonable proof of destruction to BAAI.
Once the breach has been corrected and any losses caused to BAAI have been fully compensated, BAAI has the right to decide whether to reinstate the service license.
2.3 Intended Users, Application Scenarios, and Use Cases of the Model Service
(1) Intended Users
The Model Service is designed for professionals in fields such as life sciences, drug discovery, and bioengineering, including structural biologists, bioinformatics researchers, drug design engineers, R&D personnel at biopharmaceutical companies, as well as faculty and students at universities and research institutions. The Service is primarily intended for adults aged 18 and over. If you are under 18 years of age, please review the Terms of Service with your parent or other legal guardian, and use this Service only after obtaining their consent.
(2) Applicable Scenarios
- Basic Research and Education:
- The Model Service is widely applied in fundamental research in fields such as structural biology, molecular biology, and synthetic biology. Researchers can use the Model Service to predict protein structures from their sequences, aiding in the study of structure-function relationships and the analysis of protein complex assembly.
- In educational settings, teachers can utilize the Model Service to visually demonstrate protein structures, thereby enhancing teaching effectiveness.
- Early-Stage Drug Discovery:
- Researchers can utilize the Model Service to rapidly predict the target proteins structures or ligand-bound conformations, accelerating the processes of drug screening and structural optimization and supports the virtual screening and rational design of lead compounds.
- Database Construction and Structure Annotation:
- The Model Service is suitable for organizations building bioinformatics databases and for protein annotation platforms. It can be used for large-scale structural prediction and functional inference of unannotated sequences, thereby increasing the data coverage in structural genomics.
- Scope of the Model Service
- Structure Prediction for Monomers and Complexes:
- Supports structural modeling for various biomacromolecular systems, including single-chain proteins, multi-chain complexes, protein-nucleic acid complexes, and protein-small molecule complexes.
- Protein–Protein Interaction Prediction:
- Predicts complex binding interfaces and affinity patterns through modeling, aiding in research of protein–protein interaction PPI mechanisms and in antibody design.
- Structural Quality Assessment and Confidence Analysis:
- Provides predicted per-atom/residue confidence scores (e.g., PAE and pLDDT) to assist in structural visualization and follow-up analytical evaluation.
- Structure-Guided Functional Inference and Mutation Analysis:
- Predicts protein functional sites, binding pockets, and mutation impacts based on structural information, supporting protein function annotation and disease mutation mechanism studies.
2.4 You retain ownership of the content you generate using the Service.
You understand and acknowledge that the content generated by the Service is automatically produced by the model and is intended for theoretical research reference only. It should not constitute professional advice in any biomedical or clinical field, nor should it represent the positions or opinions of BAAI. You should not directly apply the content generated by the Service to professional fields such as biomedicine or clinical medicine, and you are solely responsible for all consequences and liabilities arising from such use. Due to the nature of machine learning, the same input may produce different outputs, and different inputs may produce the same output. You are advised to carefully scrutinize and verify all results.
2.5 Security Assessment and Algorithm Filing for Generative AI Services
If you integrate the OpenComplex Server into your product for use by your end users, you are required to conduct necessary security assessments, large language model filings/registrations and algorithm filings at your own responsibility, and must comply with all relevant laws, regulations, and policies. You are responsible for effectively managing and controlling the security, legality, and compliance of generated content.
You shall establish and maintain mechanisms including but not limited to:
- Content moderation
- User management

In the event that end users of your product or service cause data security incidents, public opinion risks, or any misuse, dissemination, or improper use of the product or service, you shall solely bear all associated risks and liabilities.
2.6 Prohibited Conduct When Using the Service
You warrant that in the course of using the Service provided under the Terms of Service, you shall not engage in any of the following actions against the Service of BAAI:
- Disrupting or damaging the operation of the Service under the Terms of Service through technical means or other methods;
- Interfering with or attempting to interfere with the normal operation of any Service, or functionality, or developing, publishing, or disseminating tools or methods intended for such interference;
- Attempting in any manner to extract data, parameters, code, or any other proprietary information belonging to BAAI from the service.
- If you and/or the end user intend to use this service for commercial activities, including conducting research for commercial organizations, both parties shall enter into a separate cooperation agreement.
For specific conduct prohibited while using this Service, please refer to the OpenComplex Server Prohibited Conduct. The OpenComplex Server Prohibited Conduct shall be deemed an integral part of the Terms of Service.
2.7 Responsibility for User or Employee Violations
If you integrate the OpenComplex Server into your product for use by your end users (including employees of your institution), you shall be independently responsible for the use by your end users. If you or your end users violate any prohibition or restriction stipulated in the Terms of Service, you must immediately implement rectification actions or urge your end users to do so.
Should any such violations cause losses to BAAI, you shall fully compensate BAAI for any losses incurred and assume all liability.
2.8 Responsibility for Illegal or Criminal Activities
If we found that you have violated the provisions of the Terms of Service or have used the Service to engage in illegal or criminal activities, we reserve the right, per our own reasonable judgment and without prior notice, to take remedial actions such as issuing warnings, restricting functionality, suspending or terminating the Service, and banning your account. We also reserve the right to preserve relevant records and report to the competent authorities. You shall be solely responsible for any legal liabilities or any claims, demands, or losses asserted by a third party that result or arise therefrom.
Article 3. Data Access and Usage
3.1 Regulatory Compliance and Content Review
With respect to any content you input into the Service, you represent and warrant that you hold all rights to such content or have obtained the necessary and legitimate authorizations. You are solely responsible for the content you input. You shall be fully and solely responsible for any and all disputes arising from your input, and BAAI shall assume no liability in this regard. To fulfill legal and regulatory compliance obligations, BAAI reserves the right to review your activities and information associated with your use of the Service through technical or manual means.
This includes, but is not limited to, reviewing content you submit to the Service or content generated through your use of the Service. BAAI may establish and improve mechanisms for risk filtering, as well as maintain databases of illegal content characteristics.
3.2 Self-compliance Obligation
You understand and acknowledge that, due to the inherent unpredictability of AI-generated content, the moderation capabilities provided by BAAI do not relieve you of your compliance obligations under applicable laws, regulations, and policies, or under Clause 2.5 of the Terms of Service.
3.3 No Infringement of Third-Party Rights
You warrant that BAAI’s storage and use of the aforementioned content, based on your authorization and agreement, does not infringe upon the lawful rights and interests of any third party.
Article 4. Intellectual Property Rights
4.1 Background Intellectual Property
Each party and/or its affiliates shall retain ownership of any background intellectual property rights that they owned prior to the execution of the Terms of Service.
For the avoidance of doubt, the ownership and intellectual property rights of the OpenComplex foundational model for microscopic biomolecules—including but not limited to model parameters, algorithms, source code, and architectural framework—belong solely to BAAI.
4.2 Algorithms, Parameters, and Source Code
BAAI does not provide the algorithms, model parameters, or source code related to the Service.
Except as expressly stipulated in the Terms of Service, you shall not modify any algorithms, parameters, code, or other technical components of the Service provided by BAAI without authorization.
BAAI shall not be liable for any service malfunctions or performance degradation caused by your modification of algorithms, parameters, code, or related components.
If such modifications result in losses to BAAI or any third parties, you shall bear full liability for compensation.
4.3 Use of Names, Trademarks, and Public Statements
Without the prior written or email consent of BAAI, you shall not, at any time and in any manner (whether directly or indirectly, explicitly or implicitly, and whether for marketing, advertising, promotion, publicity, or any other purpose), do any of the following:
- Use, reference, publish, copy, distribute, display (publicly or privately), mention, register, or apply to register:
- Any trademarks (registered or unregistered), trade names, names, marks, or logos owned or lawfully used by BAAI or its affiliates (including but not limited to “BAAI”), or otherwise describe the entity in a way that enables third parties to identify BAAI or its affiliates;
- The names, portraits, likenesses, photos, images, logos, quotes, or statements (in whole or in part) of any directors, supervisors, officers, employees, partners, or members of the scientific team of BAAI or its affiliates;
- Any names, trademarks, logos, words, expressions, symbols, or any combination thereof similar to the above in any language or form;
- State or imply, directly or indirectly, that any product or service offered by you or your affiliates is endorsed or supported by BAAI or its affiliates.
Specifically, any party other than BAAI confirms and undertakes to BAAI that, without BAAI’s prior written/email consent, it shall not:
- Promote, disclose, or share with any third party any promotional/advertising/influence strategy or content related to BAAI;
- Use the BAAI name or brand, or those of its affiliates, to seek and/or solicit any investment and/or cooperation opportunities, whether directly or indirectly.
Article 5 Personal Information Protection
We take the protection of your personal information very seriously. We will collect, use, store, and share your personal information in accordance with the OpenComplex Server Privacy Policy. The OpenComplex Server Privacy Policy shall be deemed an integral part of the Terms of Service.
Article 6. Breach, Compensation, and Limitation of Liability
6.1 Liability for Breach
If either party fails to fulfill its obligations under the Terms of Service or commits a material breach that causes loss to the other party, the breaching party shall compensate the non-breaching party for all resulting economic losses.
6.2 Limitation of Liability
Neither party shall be liable for any incidental, indirect, punitive, special, or consequential damages arising out of or related to the Terms of Service or the use of products and services provided under it, including but not limited to lost profits or goodwill, regardless of how such damages arise, the theory of liability, or whether the claim is based on breach of contract, tort, indemnity, or any other legal theory—even if the party has been advised of the possibility of such damages.
6.3 Disclaimer and Industry Limitations
The products and services provided by BAAI are offered as-is, based on current technology and conditions.
BAAI will make its best effort to ensure service availability; however, unless otherwise stipulated in the Terms of Service or confirmed in writing by both parties, BAAI makes no express or implied warranties.
For example, BAAI does not guarantee that the products or services will be 100% complete, accurate, reliable, up-to-date, uninterrupted, error-free, entirely secure, or non-infringing. You are responsible for making independent judgments based on your actual circumstances.
Any intellectual property disputes arising from content generated using the products and services shall be solely handled by you, and you shall assume full responsibility. If such disputes result in losses to BAAI, you shall provide corresponding compensation.
You also agree that even if there are flaws in the products or services provided by BAAI, if such flaws are unavoidable given the current level of industry technology, this shall not constitute a breach by BAAI. The parties shall cooperate in good faith to resolve such issues.
BAAI’s liability is contingent upon your strict compliance with the Terms of Service and related documentation such as operating manuals and usage guidelines. Otherwise, if the products and services are used improperly, BAAI shall not be held liable.
6.4 Exclusion of Liability
Except where prohibited by applicable law, BAAI shall not be liable for damages of any form arising from any of the following situations, including any actual or indirect losses related to profits, goodwill, or use, or for any loss of anticipated benefits after the performance of the Terms of Service (whether or not BAAI has been advised of the possibility of such damages):
- Your failure to reasonably use the Service or your provision of the Service to a third party without BAAI’s authorization.
- Maintenance or upgrades of the Service conducted by BAAI.
- Events such as computer viruses, Trojan horses, other malicious programs, hacker attacks; or any unauthorized access, alteration, or use not caused by us; power signal interruptions, operational errors, network communication failures or interruptions, network congestion, system downtime for maintenance or upgrades, or defects in third-party services.
- Any event of force majeure, including but not limited to, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, typhoons, earthquakes, fires, floods, storms, explosions, war, governmental actions, epidemics, or quarantine restrictions.
- Any other event or circumstance not attributable to BAAI’s fault, or which is beyond BAAI's reasonable control or foreseeability.
Article 7. Update and Termination
7.1 Mutual Consent
BAAI reserves the right to amend the Terms of Service from time to time. The updated Term of Service will be published through appropriate channels, such as the [Official Website]. Once published, the updated Term of Service shall supersede the original one. You are suggested to periodically review the latest version of this Term of Service. If you do not accept the updated Terms of Service, you must stop using the Model Service immediately. Your continued use of the Model Service will be deemed as your acceptance of the updated Term of Service.
7.2 Immediate Termination
Without prejudice to any other rights or remedies, either party may terminate the Terms of Service (including all annexes hereto) immediately by written notice if the other party:
- Materially breaches a non-remediable obligation under the Terms of Service;
- Materially breaches a remediable obligation but fails to remedy it within sixty days after receiving written notice requesting such remedy;
- Becomes subject to proceedings where a receiver, administrator, or liquidator is appointed by a court or creditors, or becomes the subject of a dissolution or liquidation order.
7.3 Termination for Breach or Misuse
These Terms will remain effective until terminated by either party. You may discontinue use of the Services at any time at your sole discretion. We reserve the right to suspend or permanently revoke your access to the Services, without prior notice, if we determine—at our sole discretion—that your use violates these Terms, any applicable laws, or poses risks to safety, ethics, or responsible scientific conduct. This includes, but is not limited to, generating outputs intended for harmful biological use or that could reasonably be considered a biohazard, misuse in dual-use research contexts, or content that contravenes ethical guidelines. Termination will immediately revoke your right to access or use the Services, but shall not limit any rights or remedies accrued by either party prior to termination. Certain provisions, such as those related to intellectual property, disclaimers, limitations of liability, and applicable law, shall survive the termination of this agreement.

The Terms of Service shall become effective on the earlier of (i) the date you click to confirm the Terms of Service on the Model Service usage page, or (ii) the date the services are activated.
The Terms of Service shall remain in effect for the duration of your use of Model Service.
Article 10. Disclaimers
10.1 The Services are provided on an “as-is” and “as-available” basis, without warranties of any kind, whether express or implied. This includes, but is not limited to, warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. You assume full responsibility for how you use or rely on any information derived from the Services.
10.2 The Services are not intended for, nor validated for, clinical or diagnostic use. They must not be used as a substitute for professional advice or decision-making in medical, regulatory, or other safety-critical contexts.
10.3 To the fullest extent permitted by applicable law, we disclaim all liability for any indirect, incidental, consequential, punitive, or special damages—including, without limitation, loss of data, revenue, profits, business opportunities, or reputational harm—arising out of or in connection with your use of, or inability to use, the Services or any results they generate. In no event shall our total aggregate liability exceed $100.
